中信所与Loet Leydesdorff就《科学计量学的挑战》中文版签订的版权协议

我在“忆与杰出科学计量学家路特.莱兹多夫交往的二三事”（https://blog.sciencenet.cn/blog-1557-1380252.html）一文中写道：

2001年，The Challenge of Scientometrics: The Development, Measurement, and Self-Organization of Scientific Communications的第二版问世，路特给我寄了一本。我拿到新书浏览之后，告诉他，我想组织中国科学技术信息研究所的同事将此书译为中文，请他帮我们先联系一下出版社，看看如何向出版社支付中文版的版税。他立刻回答说：“这本书的版权归我个人，不属于出版社，我将版权免费给你们好了”。于是，我们翻译了此书。中文版为《科学计量学的挑战：科学交流的发展、测度和自组织》，科学技术文献出版社2003年出版。

下面就是中信所与Loet Leydesdorff教授就《科学计量学的挑战》中文版签订的中英文协议。

Loet Leydesdorff 教授(以下称甲方)，Amsterdam School of Communications Research， Kloveniersburgwal 48, 1012 CX Amsterdam，The Netherlands 与中国科学技术信息研究所(以下称乙方)，中国北京复兴路15号(100038)，3827信箱，于2002年2月28日拟订的协议书

    (译    文)

甲乙双方就The Challenge of Scientometrics  (以下称本著作)这部非小说类原著的有关问题达成如下协议。

(1)权利和地区

甲方把在中国出版本著作的中文版及在中国销售本著作的中文版本的非独家特许权按照如下条件免费授予乙方。

(2)出版与印刷

乙方将在本协议签署后的24个月内出版本著作的中文版，乙方如果不能如期出版，本协议将自行终止，甲方将收回特许权，并重新拥有全部权利。

(3)样书

乙方同意按前列地址邮寄6册免费的中文译本给甲方。

(4)翻译

本著作的释译工作将由能胜其事的译者来完成。为了使译文地道且具可读性，译者可以在本著作的原文文本之上加些解释，或者对文本的文字稍加改动。但是，这类解释和改动将对本文的意思没有实质性的改变。

(5)书名

英文原著的书名要印在每册中文版书的书名页的背面。

(6)版权

乙方将代表甲方来确保本著作及其中文译本的版权在协议授权地区内得到保护。除本协议授予的那部分权利以外，本著作及其中文译本的全部版权将属于甲方。

乙方所出中文版的每本书上都印有与本著作原版本上所印相同的版权说明。版权说明将印在书的书名页背面或者印在紧接书名页的那一面上。此外，也要把圆圈内圈有字母“c”的符号、作者名字以及大意为版权所有翻印必究之类的声明文字一并印出。

(7)作者的名字

作者的名字将按惯例显著地印在每本书的书名页或封面上以及由乙方或乙方代理人为本著作所作的所有广告上。

(8)侵犯版权

如果在协议授权地区之内发生本著作的版权受到侵犯的时候，乙方将采取制止此类侵权所必须采取的行动；如果乙方索取这种侵权损失的赔偿费时，乙方将把所得赔偿费在扣除乙方因制止此种侵权和实施索赔所花的司法费和法庭费之后所余数额的一半付给甲方。甲方有权自己出钱延聘自己所选定的律师参与乙方制止侵权所采取的任何行动，或者以甲方或乙方的名义分别进行起诉。

(9)广告

在本著作的任一版本内，无论是由乙方发行的还是根据乙方特许而发行的，不经甲方事先的书面同意均不得夹带或印入任何广告。

(10)特许权

本权议所授予的特许权只限于以中文书的形式出版本著作，本协议没有具体提及的所有权利均为甲方所有。

(11)协议的终止

本协议在如下情况下将自行终止，本协议所授予乙方的所有权利都将随之重归甲方：

①乙方未能遵守协议中的任一条款而由甲方或甲方代表向乙方发出这种违约的书面通告后的一个月。

②乙方不是出于重建的目的自愿进行清算而是破了产时，或者在指派一破产管理人、行政管理人、继承财产管理人或管理人管理其资产的全部或任何一部分时。

在所有这些情况下，本协议将在无损于任何权利要求(甲方或者可能要求应该归于自己的钱，或者可能要求损失赔偿费等)的情况下终止。

(12)协议有效期

本协议自拟订本文件的日子算起有效期为7年，这里所授予的权利在2009年2月28日将自动地重归甲方所有。本协议严限于本协议所写明的条件和期限，任何希望增加条款或想延长有效期的安排都将以一新的协议为准。

(13)纠纷

本协议产生的所有纠纷都将由被告所在国家的主管法院来调停。

MEMORANDUM OF AGREEMENT made this 28th day of February 2002 between Professor Loet Leydesdorff, Amsterdam School of Communications Research, Kloveniersburgwal 48, 1012 CX Amsterdam, The Netherlands (hereinafter referred to as The Proprietor) of the first part, and The Institute of Scientific and Technical Information of China (ISTIC), 15 Fu Xing Lu, P. O. Box 3827，Beijing 100038，China (hereinafter referred to as The Publishers) of the second part.

Whereby, it is mutually agreed as follows concerning an original work of nonfiction entitled:

The Challenge of Scientometrics

(hereinafter referred to as the Work)

1)  RIGHTS AND TERRITORY

The proprietor hereby grants gratis to the Publishers the nonexclusive license to publish the Work in the Chinese language and to distribute it in China, subject to the terms and conditions following, and guarantees that he has full power and authority to make this agreement and grant.

2)PUBLICATION AND PRODUCTION

The Publishers shall publish the Work within 24 months of the date of this agreement. If he fails to do so this agreement shall terminate automatically and the Proprietor shall resume possession of the license and of all rights without further notice.

3)SAMPLE COPIES

The Publisher agrees to send 6 gratis copies of the translated edition to the Proprietor at the address listed above.

4)TRANSLATION

The translation of the said Work will be made by competent translators who may add explanations or make slight modifications in the original text of the Work to achieve a competent and idiomatic translation. Such explanations or modifications shall not materially change the meaning or otherwise materially alter the text.

5)TITLE

The original title of the said Work in English shall appear on the back of the title page of every copy of the Publisher's edition.

6)COPYRIGHT

The Publisher will secure in the name of the Proprietor whatever copyright protection may be available in the said territory with respect to the Work and said translation. The entire copyright in the Work and said translation shall be and remain in the Proprietor subject only to the rights herein granted.

Every copy of the Publisher's edition shall carry a copyright notice identical to the one appearing in the original edition of the Work. The copyright notice shall appear on the back of the title page or on the page immediately following. Together with the letter “c” within a circle, and the year when first publication takes place hereunder, and the name of Author and a statement to the effect that all rights are reserved by the Author through the world, if not otherwise stated hereinafter.

7)NAME OF AUTHOR

The name of the Author shall appear in its customary form in due prominence on the title page and binding of every copy produced and on all advertisements of the said Work issued by the Publisher or his agents.

8)INFRINGEMENT OF COPYRIGHT

In the event the copyright in the Work shall be infringed in the language of the translation within the territory of the grant the Publisher shall take such steps as may be necessary to restrain such infringement, and in the event that the Publisher shall collect damages therefore, then the Publisher shall thereupon pay to the Proprietor on behalf of all sums so collected after deduction of legal expenses and court fees paid by the Publisher in enjoining the said infringement and effecting the collection of said sums. The Proprietor shall have the right and option to engage counsel of his own choosing, at his own expense, to join with the Publisher in any action to restrain infringement, or to bring an action separately in the name of the Proprietor or Publisher.

9)ADVERTISEMENTS

Advertisements may not be inserted or printed in any edition of the Work(s),whether issued by the Publisher or its License, without the Proprietor's prior written consent.

10)LICENSE

The license herein granted is assigned to the Publishers solely and shall not be transferred by them without the written consent of the Proprietor. The license herein granted to the Publishers is confined to volume publication of the said Work in the Chinese language and all rights not specifically mentioned in this agreement are reserved to the Proprietor.

11)TERMINATION

This Agreement shall automatically terminate and all rights granted by it to the Publishers shall revert to the Proprietor in the following circumstances:

(1)If the Publishers fail to fulfill or comply with any of its provisions within one month after written notification from the Proprietor or his representatives of such failure.

(2)If the Publishers go into liquidation other than voluntary liquidation for the purpose of reconstruction only or have a receiver, administrative receiver, receiver and manager, or administrator appointed in respect of the whole or any part of its assets.

In all these cases this Agreement shall terminate without prejudice to any claim which the Proprietor may have either for monies due to him and/or damages and/or otherwise.

12)LENGTH OF AGREEMENT

This agreement is valid for 7 years from the date hereof and the rights herein granted shall revert automatically to the Proprietor on February 28, 2009.This agreement is limited strictly on the terms and period stated herein and any arrangements for additional printings or periods of time shall be subject to a new agreement.

13)DISPUTES

All disputes hereunder shall be settled by the defendant's competent home courts.
