第26条成员

（1）行政委员会应当由缔约国的代表及其候补代表组成；各缔约国有权向行政委员会指派1名代表及1名候补代表；

（2）根据行政委员会的程序规章，行政委员会的委员可由顾问或者专家协助。

Article 26 Membership

(1)The Administrative Council shall becomposed of the Representatives and the alternate Representatives of theContracting States. Each Contracting State shall be entitled to appoint oneRepresentative and one alternate Representative to the AdministrativeCouncil.

(2)The members of the Administrative Councilmay, in accordance with the Rules of Procedure of the Administrative Council,be assisted by advisers or experts.

（1）行政委员会应当从缔约国代表和候补代表中选举主任和副主任；当主任无法履行职责时，副主任依职权接替主任；

（2）主任和副主任的任期应当为3年。他们可以连任。

Article 27 Chairmanship

(1)The Administrative Council shall elect aChairman and a Deputy Chairman from among the Representatives and alternateRepresentatives of the Contracting States. The Deputy Chairman shall ex officioreplace the Chairman if he is prevented from carrying out his duties.

(2)The terms of office of the Chairman andthe Deputy Chairman shall be three years. They may be re‑elected.

第28条理事会

（1）当至少有8个缔约国时，行政委员会可以设立由其中5个成员国组成的理事会。

（2）行政委员会的主任和副主任应当依职权成为理事会的成员；其他3个成员由行政委员会选举。

（3）经行政委员会选举的成员的任期应当为3年。他们不得连任。

（4）理事会应当根据程序规章履行行政委员会向其指派的任务。

Article 28 Board

(1)When there are at least eight ContractingStates, the Administrative Council may set up a Board composed of five of itsmembers.

(2)The Chairman and the Deputy Chairman ofthe Administrative Council shall be members of the Board ex officio; the otherthree members shall be elected by the Administrative Council.

(3)The term of office of the members electedby the Administrative Council shall be three years. They may not be re‑elected.

(4)The Board shall perform the dutiesassigned to it by the Administrative Council in accordance with the Rules ofProcedure.

第29条会议

（1）行政委员会的会议由行政委员会主任召集。

（2）欧洲专利局局长应当参与行政委员会的讨论。

（3）行政委员会应当每年举行一次例会。另外，根据行政委员会主任的提议或者1/3缔约国的请求，也应当举行会议；

（4）行政委员会的讨论应当基于议程，并根据程序规章进行；

（5）临时议程应包括缔约国根据程序规章要求列入的任何问题。

Article 29 Meetings

(1)Meetings of the Administrative Councilshall be convened by its Chairman.

(2)The President of the European PatentOffice shall take part in the deliberations of the AdministrativeCouncil.

(3)The Administrative Council shall hold anordinary meeting once each year. In addition, it shall meet on the initiativeof its Chairman or at the request of one‑third of the Contracting States.

(4)The deliberations of the AdministrativeCouncil shall be based on an agenda, and shall be held in accordance with itsRules of Procedure.

(5)The provisional agenda shall contain any questionwhose inclusion is requested by any Contracting State in accordance with theRules of Procedure.

第30条观察员的出席

（1）根据本组织和世界知识产权组织的协议，世界知识产权组织应派代表出席行政委员会的会议。

（2）已与本组织达成协议的其他有权执行专利领域国际程序的政府间组织，应当根据该协议派代表出席行政委员会的会议。

（3）执行与本组织有关的活动的任何其他政府间或国际非政府间组织，可以受行政委员会的邀请，在共同关心事宜讨论期间派代表出席会议。

Article 30 Attendance of observers

(1)The World Intellectual PropertyOrganization shall be represented at the meetings of the AdministrativeCouncil, in accordance with an agreement between the Organisation and the WorldIntellectual Property Organization.

(2)Other intergovernmental organisationsentrusted with carrying out international procedures in the field of patents,with which the Organisation has concluded an agreement, shall be represented atthe meetings of the Administrative Council, in accordance with suchagreement.

(3)Any other intergovernmental andinternational non-governmental organisations carrying out an activity ofinterest to the Organisation may be invited by the Administrative Council to berepresented at its meetings during any discussion of matters of mutualinterest.

第31条行政委员会的语言

（1）行政委员会的讨论中所使用的语言应当是英语、法语和德语。

（2）递交到行政委员会的文件以及讨论纪要应当使用第（1）款中指定的3种语言拟定。

Article 31 Languages of the Administrative Council

(1)The languages used in the deliberations ofthe Administrative Council shall be English, French and German.

(2)Documents submitted to the AdministrativeCouncil, and the minutes of its deliberations, shall be drawn up in the threelanguages specified in paragraph 1.

第32条人员、场所和设备

欧洲专利局应为行政委员会及其设立的委员会提供为了履行其职责所必须的人员、场所和设备。

Article 32 Staff, premises and equipment

The European Patent Office shall place at the disposal of theAdministrative Council, and of any committee established by it, such staff,premises and equipment as may be necessary for the performance of theirduties.

第33条在某些情况下行政委员会的权限

（1）行政委员会有权修订：

（a）本公约规定的期限；

（b）本公约第二至第八部分以及第十部分，使其和与专利有关的国际条约或者与专利有关的欧洲共同体立法一致；

（c）实施细则。

（2）根据本公约，行政委员会有权通过或修订：

（a）财务条例；

（b）长期职员的服务条例以及欧洲专利局其他职员的聘用条件，长期职员和其他职员的工资标准，津贴的性质以及津贴发放的规章；

（c）退休金条例，以及因工资增长而适当增加现有的退休金；

（d）费用条例；

（e）行政委员会的程序规章。

（3）尽管第18条第2款已规定，但是行政委员会有权根据经验决定在某些情况下，审查部应当仅由一名技术适格审查员组成。这项决定可以废除。

（4）行政委员会有权授权欧洲专利局局长进行谈判，并根据行政委员会的同意代表欧洲专利组织与国家、政府间组织以及根据与该组织之间的协议而与由该组织设立的文献中心签订协议。

（5）行政委员会不得根据第1（b）款做出如下决定：

-在国际条约生效前关于该国际条约的决定；

-在欧洲共同体立法生效前，或者立法为了实施而规定了期间，在该期间届满前，关于该欧洲共同体立法的决定。

Article 33 Competence of the Administrative Council in certain cases

(1)The Administrative Council shall be competent to amend:  

(a)the time limits laid down in thisConvention;

(b)Parts II to VIII and Part X of thisConvention, to bring them into line with an international treaty relating topatents or European Community legislation relating to patents;

(c)the Implementing Regulations.

(2)The Administrative Council shall becompetent, in conformity with this Convention, to adopt or amend:

(a)the Financial Regulations;

(b)the Service Regulations for permanentemployees and the conditions of employment of other employees of the EuropeanPatent Office, the salary scales of the said permanent and other employees, andalso the nature of any supplementary benefits and the rules for grantingthem;

(c)the Pension Scheme Regulations and anyappropriate increases in existing pensions to correspond to increases insalaries;

(d)the Rulesrelating to Fees;

(e)its Rules of Procedure.

(3)Notwithstanding Article 18,paragraph 2, the Administrative Council shall be competent todecide, in the light of experience, that in certain categories of casesExamining Divisions shall consist of one technically qualified examiner only.Such decision may be rescinded.

(4)The Administrative Council shall be competentto authorise the President of the European Patent Office to negotiate and,subject to its approval, to conclude agreements on behalf of the EuropeanPatent Organisation with States, with intergovernmental organisations and withdocumentation centres set up on the basis of agreements with suchorganisations.

(5)The Administrative Council may not take adecision under paragraph 1(b):

- concerning an international treaty, before its entry intoforce;

- concerning European Community legislation, before its entryinto force or, where that legislation lays down a period for itsimplementation, before the expiry of that period.

第34条投票权

Article 34 Voting rights

(1)The right to vote in the AdministrativeCouncil shall be restricted to the Contracting States.

(2)Each Contracting State shall have onevote, except where Article 36 applies.

第35条投票规则

（1）除第2款和第3款规定外，行政委员会应根据派代表出席并投票的缔约国的简单多数做出决定。

（2）行政委员会有权根据第7条，第11条第1款，第33条第1（a）和第1（c）款，以及第2到第4款，第39条第1款，第40条第2款和第4款，第46条，第134a条，第149a条第2款，第152条，第153条第7款，第166条和第172条做出的决定，需要派代表出席并投票的缔约国的3/4多数通过。

（3）行政委员会有权根据第33条第1（b）款做出的决定应当需要缔约国一致投票通过。必须全体缔约国派代表出席，行政委员会才能做出该决定。在根据第33条第1（b）款做出的决定之日起12个月内，若某缔约国宣称其不希望受到该决定的约束，则该决定不发生效力。

（4）弃权不应视为投票。

Article 35 Voting rules

(1)The Administrative Council shall take itsdecisions, other than those referred to in paragraphs 2and 3,by a simple majority of the Contracting States represented and voting.

(2)A majority of three-quarters of the votesof the Contracting States represented and voting shall be required for thedecisions which the Administrative Council is empowered to take under Article 7,Article 11,paragraph 1, Article 33,paragraphs 1(a) and (c),and 2 to 4, Article 39,paragraph 1,Article 40,paragraphs 2 and4, Article 46, Article 134a, Article 149a,paragraph 2, Article 152, Article 153,paragraph 7, Article 166 and Article 172.

(3)Unanimity of the Contracting States votingshall be required for the decisions which the Administrative Council isempowered to take under Article 33,paragraph 1(b). The Administrative Council shall take suchdecisions only if all the Contracting States are represented. A decision takenon the basis of Article 33,paragraph 1(b), shall not take effect if a Contracting Statedeclares, within twelve months of the date of the decision, that it does notwish to be bound by that decision.

(4)Abstentions shall not be considered asvotes.

第36条选票比例

（1）关于费用条例的通过或修订，以及如果本组织预算以及修订的预算或者补充的预算的通过使得缔约国的会费增加，任何缔约国均可在第一轮投票中投出一票之后，不管第一轮投票结果如何，均可要求立即进行第二轮投票，其中缔约国根据第2款进行投票。应当根据第二轮投票的结果做出决定。

（2）在第二轮投票中，每个缔约国的票数按照如下方式计算：

（a）各缔约国根据第40条第3款和第4款所分摊的特别会费的比例乘以缔约国的数量，并且除以5；

（b）票数应当向上舍入为下一个整数；

（c）该整数应当加五票；

（d）尽管如此，任何缔约国不得多于30票。

Article 36 Weighting of votes

(1)In respect of the adoption or amendment ofthe Rulesrelating to Fees and, if the financial contribution to be madeby the Contracting States would thereby be increased, the adoption of thebudget of the Organisation and of any amending or supplementary budget, anyContracting State may require, following a first ballot in which eachContracting State shall have one vote, and whatever the result of this ballot,that a second ballot be taken immediately, in which votes shall be given to theStates in accordance with paragraph 2.The decision shall be determined by the result of this second ballot.

(2)The number of votes that each ContractingState shall have in the second ballot shall be calculated as follows:

(a)the percentage obtained for eachContracting State in respect of the scale for the special financialcontributions, pursuant to Article 40,paragraphs 3 and 4,shall be multiplied by the number of Contracting States and divided by five;

(b)the number of votes thus given shall berounded upwards to the next whole number;

(c)five additional votes shall be added tothis number;

(d)nevertheless, no Contracting State shallhave more than 30 votes.
